On October 2, 2008, Rockwell Collins, Inc. issued a revised Standards of Business Conduct Policy, RC-ADM-POL-008. The revised Standards of Business Conduct Policy merges this policy and the previous Conflicts of Interest Policy (RC-ADM-POL-003)
into one document, RC-ADM-POL-008. In addition, topics have been added to the new Standards of Business Conduct Policy to
more completely reflect and articulate the Company's standards of business conduct policies into one policy document. New
sections include:

Delegation of Authority

Applicability to Suppliers and Contractors

Personal Conduct (Drugs, Alcohol and Inhalants; Gambling; Favoritism; Theft; Unprofessional Behavior)
In addition, the document has been organized into topic areas that will make them more accessible and articulate our standards
of conduct in a more straightforward manner. Our employees have been notified of the revised policy release and encouraged
to read the new policy and recommit themselves to complying with our standards of business conduct. By so doing, they will
continue to contribute to maintaining our excellent reputation as a highly ethical company.
This policy, together with the Rockwell Collins Standards of Business Conduct - Code of Conduct, represents the Company's
standards of business conduct. Please refer to both documents for a full understanding of how we conduct our business.
